Leony Terms of services

These Terms of Services (“Terms”) govern your access to and use of the LEONY platform, website, applications, APIs, and related services (collectively, the “Services”). By subscribing to or using the Services, you represent that you are acting in the course of a professional activity and accept these Terms in full. If you do not agree, please do not use the Services.

2. Scope - B2B Only
The Services are strictly reserved for legal entities, self-employed professionals, and their authorized representatives acting within the scope of their professional activity. The Services are not offered to consumers within the meaning of the French Consumer Code (Code de la consommation). By subscribing, the client (the “Customer”) expressly waives the application of consumer protection provisions to the extent permitted by law.
3. Account Registration
To use the Services, the Customer must create an account and provide accurate, current, and complete information, including company name, SIREN/VAT number where applicable, and authorized billing contact.
The Customer is responsible for:
- Maintaining the confidentiality of its credentials.
- All activities performed under its account.
- Promptly notifying LEONY of any unauthorized access at tech@leony.ai.
LEONY may refuse, suspend, or terminate any account in case of suspected fraud, misuse, or breach of these Terms.
4. Description of the Services
LEONY provides a B2B SaaS platform that includes, without limitation:
- AI-powered video indexing, tagging, and semantic analysis.
- Automated video editing, reformatting, and enhancement.
- Distribution optimization for third-party platforms such as YouTube, Meta, and TikTok.
- Analytics, trend detection, and monetization support for rights holders and professional creators.
LEONY may modify, add, or discontinue features at any time and will make reasonable efforts to notify the Customer of material changes.
5. Subscription Plans, Credits and Users
5.1 Subscription Model
Access to the Services is provided through a paid subscription offering a monthly or annual allowance of usage credits (“Included Credits”). Credits are consumed according to the type and volume of actions performed on the platform, such as video processing, AI inference, and exports. Credit consumption rates are described in the Customer’s dashboard and/or order form and may be updated from time to time.
5.2 Additional Credits
If the Customer exhausts its Included Credits, it may purchase additional credit packs (“Additional Credits”) through the platform. Additional Credits:
- Are billed upfront at the prices displayed at the time of purchase.
- Are non-refundable, except where required by applicable law.
May have an expiration date specified at the time of purchase, and unused credits expire and are forfeited at the end of that period.
5.3 Rollover
Unless otherwise indicated on the pricing page or in the order form, Included Credits do not roll over to the next billing period and are forfeited if unused at the end of the cycle.
5.4 User Seats and Additional Users
Each subscription plan includes a defined number of authorized user seats, as specified on the pricing page or in the order form. Adding users beyond the number included in the Customer’s plan may result in additional charges, billed on a per-seat basis at the rates displayed at the time the additional seat is activated.
Additional user seats:
- Are billed on the same recurring cycle as the Customer’s main subscription, prorated for the first billing period.
- Are subject to the same terms, credit-sharing rules, and fair-use limits as the main subscription.
- May be removed by the Customer from its account settings, with the removal taking effect at the end of the current billing cycle and no refund for the current period.
Each authorized user must have an individual account. The sharing of credentials between several users is strictly prohibited and may result in suspension of the Services without refund.
5.5 Fair Use
LEONY may apply reasonable fair-use limits, including rate limits, concurrent jobs, and file size caps, to preserve the quality and stability of the Services.
6. Fees, Billing and Payment
Subscription fees are billed in advance on a recurring basis, monthly or annual, and renew automatically unless cancelled before the renewal date. Additional Credits are billed immediately at the time of purchase. All prices are stated excluding VAT, and VAT and other applicable taxes will be added where required.
Payment is made by credit card, SEPA direct debit, or bank transfer, subject to eligibility. In case of late payment, LEONY may, without prior notice, apply late-payment interest at three times the French legal interest rate, plus a fixed recovery indemnity of €40 under Articles L.441-10 and D.441-5 of the French Commercial Code, and suspend access to the Services until full payment is received.
7. Term, Renewal and Termination
The subscription enters into force upon order confirmation and is concluded for the duration selected by the Customer, monthly or annual. The subscription renews automatically for successive periods of the same duration unless cancelled by the Customer from its account settings before the end of the current period.
Either party may terminate the agreement for material breach not cured within fifteen days after written notice. LEONY may suspend or terminate access immediately in case of non-payment, unlawful use, or risk to the integrity or security of the Services. Upon termination, all unused credits, whether Included or Additional, are forfeited and no refund is due, except where required by mandatory law.
8. User Content and Licenses
8.1 Ownership
The Customer retains all ownership rights in the videos, images, audio, metadata, and other materials it uploads, submits, or generates through the Services (“User Content”).
8.2 License to LEONY
The Customer grants LEONY a worldwide, non-exclusive, royalty-free license to host, store, reproduce, analyze, process, adapt, and display User Content solely for the purpose of operating, providing, securing, and improving the Services for the Customer.
8.3 Warranties
The Customer represents and warrants that:
It owns or has obtained all necessary rights, licenses, and consents for any User Content.
Its User Content does not infringe any third-party intellectual property, privacy, or publicity rights.
Its User Content complies with all applicable laws and third-party platform policies, including YouTube, Meta, and TikTok.
9. AI-Generated Outputs
The Services use analytical AI models to produce outputs, including edits, summaries, tags, and recommendations (“Outputs”). The Customer acknowledges that Outputs are generated automatically and may contain inaccuracies, artifacts, or biases, and is solely responsible for reviewing and validating Outputs before publication or distribution.
LEONY makes no exclusivity claim over generic AI-generated results, and similar Outputs may be generated for other customers. The Customer is responsible for ensuring that its use of Outputs complies with applicable laws and Content ID or copyright rules on distribution platforms.
10. Acceptable Use
The Customer agrees not to:
- Upload content that is illegal, infringing, defamatory, harmful, or violates third-party rights.
- Use the Services to generate or distribute misleading or harmful media, including non-consensual deepfakes.
- Reverse-engineer, decompile, or extract the source code or underlying AI models.
- Circumvent usage limits, rate limits, credit metering, or security mechanisms.
- Use the Services to train competing AI models without LEONY’s prior written consent.
- Resell, sublicense, or redistribute the Services without authorization.
- Violations may result in immediate suspension or termination without refund.
11. Intellectual Property
Except for User Content, all rights, title, and interest in and to the Services, including software, AI models, algorithms, interfaces, trademarks, and documentation, remain the exclusive property of LEONY or its licensors. No rights are granted to the Customer other than those expressly set forth in these Terms.
12. Third-Party Services
The Services may integrate with third-party platforms including YouTube, Meta, TikTok, payment processors, and cloud hosting providers. The Customer’s use of such third-party services is governed by their own terms. LEONY is not responsible for their availability, content, or practices.
13. Confidentiality
Each party agrees to protect the other’s confidential information and to use it solely for the purpose of performing these Terms. This obligation survives termination for a period of five years.
14. Data Protection
LEONY processes personal data in accordance with the GDPR and its Privacy Policy. When LEONY processes personal data on behalf of the Customer, a Data Processing Agreement (DPA) applies and is available upon request at tech@leony.ai.
15. Service Level and Disclaimers
The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, accuracy, or non-infringement. LEONY does not guarantee uninterrupted or error-free operation, nor any specific monetization, SEO, or performance results.
16. Limitation of Liability
To the maximum extent permitted by law, LEONY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, opportunity, or goodwill. LEONY’s total aggregate liability for any and all claims arising out of or in connection with the Services shall not exceed the amounts actually paid by the Customer to LEONY during the twelve months preceding the event giving rise to the claim.
17. Indemnification
The Customer agrees to defend, indemnify, and hold harmless LEONY and its affiliates, officers, employees, and agents from any claim, liability, damage, or expense, including reasonable legal fees, arising out of: (i) the Customer’s use of the Services; (ii) the User Content; or (iii) the Customer’s breach of these Terms.
18. Force Majeure
Neither party shall be liable for any failure or delay in performance due to events beyond its reasonable control, including natural disasters, wars, strikes, cyber-attacks, failures of telecommunications networks, or acts of public authorities.
19. Modifications to the Terms
LEONY may update these Terms from time to time. Material changes will be notified by email or through the Services at least thirty days before entering into force. Continued use after the effective date constitutes acceptance of the updated Terms.
20. Governing Law and Jurisdiction
These Terms are governed by French law, without regard to its conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France, notwithstanding multiple defendants or third-party claims.
21. Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy, the DPA if applicable, and any order form, constitute the entire agreement between the parties.
Severability: If any provision is held unenforceable, the remaining provisions shall remain in full force.
No Waiver: Failure to enforce any right shall not constitute a waiver.
Assignment: The Customer may not assign these Terms without LEONY’s prior written consent. LEONY may assign these Terms in connection with a merger, acquisition, or sale of assets.
Language: These Terms are drafted in English. If a French translation is provided, the English version prevails in case of discrepancy.
